Some people are saying it’s because they were contingent on background check. I kind of thought having him on the board would be a bad move when dealing with the SEC. He Tweets crap out and it’ll be either like shilling for the stock or trying to drive it down. After he bought in he tweeted about engagement being down. If Musk takes a seat on the BOD he is restricted (15%) on the amount of stock he may buy. Not taking the seat he can buy more than the restriction giving him the opportunity as a major shareholder and possibility for a takeover.

President Trump plans to partially restrict himself from using Twitter, according to a new federal securities filing from the blank check company taking his social network, Truth Social, public, Axios reports.
From the filing: President Trump is generally obligated to make any social media post on TruthSocial and may not make the same post on another social media site for 6 hours. Thereafter, he is free to post on any site to which he has access. Thus, TMTG has limited time to benefit from his posts and followers may not find it compelling to use TruthSocial to read his posts that quickly.
In addition, he may make a post from a personal account related to political messaging, political fundraising or get-out-the-vote efforts on any social media site at any time.

No. That not how those deals work. The SPAC raised a bunch of money on the idea it would identify and purchase a private company during a specified time frame and take it public. Saves IPO costs for the company. That SPAC chose TMTG as the one. That deal they signed was for that amount. Looks like the money wont go to TMGT.

BREAKING: Trump Media, the parent company of Truth Social, is reportedly under FEDERAL INVESTIGATION for money laundering in connection to two payments made to them, totaling $8 MILLION from entities reportedly controlled by allies of Vladimir Putin.
Details:
– In December 2021, Trump Media received an initial payment of $2 million at a critical moment when the company faced imminent collapse. The payment arrived amidst a tumultuous period in which the planned merger with a public company was delayed due to an SEC investigation
– Two months later, Trump Media’s account received a second payment of $6 million from ES Family Trust, as evidenced by a transfer receipt.
– One of the payments was tracked to Anton Postolnikov, who appears to have a relation of Putin ally Aleksandr Smirnov. The other payment was also tracked to a Putin-connected ally through Paxum Bank.

Trump Media and Technology Group (TMTG), which owns the Truth Social platform, is seeking $3.78bn in damages.
The suit, filed on Saturday night in Florida state court in Sarasota County, accuses the news outlet of publishing a story that poses an existential threat to the social media company.
According to the lawsuit, the [i]Post[/i] published an egregious hit piece that falsely accused TMTG of securities fraud and other wrongdoing and has been on a years-long crusade against TMTG characterized by the concealment of relevant information in its possession.
Further, it says: WaPos false criminal charges exposed TMTG to public ridicule, contempt and distrust, and injured TMTGs business and reputation.
